Terms of Use

1. Introduction – Acceptance of Terms

1.1 These terms of use (“Terms”) apply to the website www.thenightlife.asia and The Nightlife Asia mobile application. For the purposes of these Terms, both the website and application shall be referred to as the “App“. Your use of the App is also subject to our Privacy Notice, which you should read before accessing the App.

1.2 The App is offered from the Kingdom of Thailand by …The nightlife Co., Ltd. (“our“, “us“, “The Nightlife Asia” and “we“) which is a company registered in the Kingdom of Thailand. 1.3 Please read the Terms carefully before you start to use the App. By using the App, opening an account or by clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to be bound and abide by these Terms and our Privacy Policy. If you do not want to agree to these Terms or the Privacy Policy, you must not access or use the App. For more detailed policies surrounding the activity and usage on the App, please access the designated articles herein.

1.4 As a condition of use, you promise not to use the App for any purpose that is prohibited by these Terms. You are responsible for all of your activity in connection with the App. Additionally, you shall abide by all applicable local laws and regulations.

1.5 These Terms were last updated in January 2022.

2. Registration and User Accounts

2.1 In order to use some parts of the App, you may need to create an account. You can create a User Account on the App using your email address or via a social media account.

• To register an account with your email address you will need to fill out a form on the App, once applicable. You warrant that the information you input is true, complete and accurate. You will promptly inform us of any changes to such information (you can do this by updating your account details at any time). The personal information you give us is governed by our Privacy Policy.
• When logging in or creating a User Account via a social media account, The Nightlife Asia will ask the nominated application for permission to access selected data, which enables the service to work. This data is stored by us against your profile. You can choose what personal information is displayed on the App. When you login via social media the application will check for any changes and update your User Account. Additionally, if you amend details about yourself within your User Account this data will be retained as the master copy of your data. If you choose to deactivate your User Account, all your data will be deleted by us. However, we reserve the right to decline a new registration or cancel your account at any time (including if you don’t provide us with a valid email address that is personal to you, or if you don’t provide us with a correct name and surname).

2.2 In consideration of your use of our App, you agree that your information: (a) shall not be fraudulent; (b) shall not infringe any third party’s copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy; (c) shall not violate any law, statute, ordinance or regulation; (d) shall not be defamatory, unlawfully threatening or unlawfully harassing; shall not be obscene or contain, pornography, child pornography, or photographs of unclothed person(s); (e) shall not contain any viruses, trojan horses, worms, time bombs, cancelbots, easter eggs or other computer programming routines that may damage,
detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; (f) shall not link directly or indirectly to any materials to which you do not have a right to link to or include. In addition, you agree that you will provide us with your valid, current email address, both at the time of your registration with us and from time to time as your email address changes.

2.3 Except as otherwise provided in our Privacy Policy, we will not sell, rent or otherwise disclose any of your Personally Identifiable Information (as defined in our Privacy Policy) about you (including your email address) to any third party. Please review the Privacy Notice for details of how we use your personal data.

2.4 In order to register and access your account, you will need to choose a password. It is important you keep this password confidential because you are entirely responsible if you do not maintain the confidentiality of your password to a reasonably expected standard. Let us know as soon as you become aware there has been a breach of security and we will suspend your account.

2.5 You shall not create multiple user accounts. You shall not use another Website user’s account without obtaining their prior consent. You must provide full and accurate information, including your real name, when you create your User Account.

3. Use and Access

3.1 To use the App, you must be 18 or over. By continuing to use the App and agreeing to these Terms you are representing to us that you are 18 and we can rely on this representation.

3.2 To fall within the eligibility criteria, you must not have been previously suspended or removed from the App. Finally, any registration for and use of the App is in compliance with all applicable laws and regulations.

3.3 You must only use the App and anything available from the App for lawful purposes (complying with all applicable laws and regulations), in a responsible manner, and not in a way that might damage our name or reputation or that of any of our affiliates and you acknowledge that your failure to do so may subject you to civil and criminal liability.

3.4 The App is intended for your own personal and noncommercial use. You agree you will not sell, lease, rent or provide any good or service or otherwise transact on the App. You hereby represent and warrant that you are the owner or otherwise have the right to provide any materials that you upload, post, email, transmit or otherwise make available via the App. The App contains materials supplied by The Nightlife Asia and its members, affiliates, partners and subsidiaries, as well as other sources, and is protected by copyrights, trademarks, service marks, patents, trade secrets or other proprietary rights and laws. Except as expressly authorized by The Nightlife Asia, you may not reproduce, modify, copy, republish, post, transmit, upload, distribute, sell, license, rent or adapt or create a derivative work of, in any manner, any material, content or design elements obtained from the Site.

3.5 You agree not to use any obscene, indecent, disrespectful and/or offensive language, including any libelous, defamatory, obscene, pornographic or otherwise illegal material on the App. Any abusive or discriminatory language on the basis of race, religion, nationality, gender, sexual preference, age, region, disability, etc., will not be permitted. In addition, you may not place on the App any material that is encrypted, is junk mail or unauthorized advertising, commercial offers, political content, contains links to inappropriate websites, or encourages conduct that would constitute a criminal offense, give rise to civil liability or that otherwise violates any local or international law or regulation. You may not post any message, or otherwise, that contains personal information, invades anyone’s privacy or that contains email addresses, URLs, phone numbers and postal addresses. You agree to not post any information intended to impersonate other users (including names of other individuals or groups) or that contains offensive or inappropriate user names or signatures.

3.6 You are not allowed to post the same message repeatedly or post “off-topic” messages; such items will be removed and your rights to use the App may be immediately terminated, at the sole discretion of The Nightlife Asia.

3.7 Content submitted with files containing viruses, corrupted files or any other materials intended to damage or intercept data from another computer is prohibited. You may not post any material that contains or links to any viruses, worms, Trojan horses, corrupted data or other harmful, disruptive or destructive files or programs. You agree not to disrupt, overwhelm, attack, modify or interfere with the App or its associated software, hardware and/or servers in any way, and you agree not to hinder or interfere with others’ use of the App.

3.8 Except to the extent expressly set out in these Terms, you are not allowed to:

• store pages of the App on a server or other storage device connected to a network or create an electronic database by systematically downloading and storing all or most of the pages of the App;
• remove or change any content of the App or attempt to circumvent security or interfere with the proper working of the App or the servers on which it is hosted;
• modify, access or make available data stored on a computer or device which you have accessed through our network, when either: (i) the owner of the data, computer or device has taken steps to prevent you from doing this; or (ii) the owner has expressed a wish that you do not do this;
• make available or upload files that contain software or other material, data or information not owned by or licensed to you or collect information about others (eg. names/addresses) without their prior consent;
• damage, interfere with or disrupt access to the App or do anything which might impair its functionality;
• use the App in any way to send unsolicited (commercial or otherwise) e-mails or any material for marketing or publicity purposes, or any similar abuse of either;
• publish, post, distribute, disseminate or otherwise transmit, defamatory offensive, infringing, obscene, indecent or other unlawful or objectionable material or information via the App;
• falsify the true ownership of software or other material or information contained in a file made available via the App;
• obtain or attempt to obtain unauthorized access, through whatever means, to the App.

3.9 All rights granted to you under these Terms will terminate immediately in the event that you have not followed your responsibilities as required by them (legally known as a “breach”).

4. User Submissions and reviews

4.1 We may now or in the future allow the submission to the App of videos and/or other communications or materials (including reviews) by users of the App (collectively “User Submissions”).

4.2 User Submissions must comply at all times with these Terms and with any separate terms and conditions relating to such User Submissions that we may publish on the App from time to time.

4.3 By submitting any User Submissions to the App you hereby grant to:

• The Nightlife Asia royalty-free, perpetual, transferable, irrevocable, non-exclusive license and right to use, reproduce, share, copy, modify, publish, edit, translate, reformat, host, aggregate, distribute, perform, and display the User Submission alone or as part of other works in any form, media, or technology whether now known or hereafter developed without territorial or time limitations, and to sublicense such rights through multiple tiers of sub-licensees; and
• each user of the App, an irrevocable, perpetual, worldwide, non-exclusive, royalty-free, license to access the User Submissions through the App.

4.4 By submitting User Submissions to the App you warrant, represent and undertake to us that you have full power and authority to grant the rights and licenses relating to the User Submissions set out in this agreement and that the User Submissions you submit:

• do not infringe any third party’s intellectual property rights (including without limitation copyright and/or trademarks), other proprietary rights or rights of publicity or privacy;
• do not violate any law, statute, ordinance or regulation;
• are not defamatory, libelous, threatening or harassing;
• are not obscene or pornographic;
• do not violate any laws;
• do not include e-mail addresses, URLs to personal websites and/or blogs or phone numbers, and/or
• are not a report of someone else’s experience.

4.5 If you choose to submit a review it must be your description of the experience you had with friends, family or on your own. We encourage reviews that are informative, entertaining and helpful for others and an explanation of what you enjoyed or didn’t.

4.6 By submitting a review to the App you hereby confirm that the review is based on your own experience and is your genuine opinion, that you have no personal or business relationship with what you are reviewing, have not been offered any incentive or payment to write your review and have no personal grievances to air.

4.7 You acknowledge and agree that you understand that The Nightlife Asia has a zero-tolerance policy on fake reviews.

4.8 We encourage you to share your opinion about the features we’ve written or a review that has been written by us or by one of our users. We like comments that are your view of another’s opinion and are constructive – be that agreeing or disagreeing.

4.9 Reviews and comments must be:

• user-friendly: contain no profanities, threats, prejudiced comments, hate speech, sexually explicit language or other content that is not appropriate for other users;
• unique and independent: you should write one review about a first-hand experience on any given event, venue or artist;
• original: contain no substantially quoted material from other sources, including (but not limited to) websites, e-mail correspondence, other reviews, etc.;
• non-commercial: contain no promotional material of any kind, including self-promotional URLs. We reserve the right to reject any URL, e-mail address or phone number for any reason and reserve the right to delete any section containing promotional material from reviews;
• submitted by persons over the age of 18;
• submitted with a valid e-mail address; and
• submitted with no HTML tags and no excessive ALL CAPS, slang or typographic symbols.

4.10 The Nightlife Asia allows the management or representatives of events, venues, and artists to respond to reviews written by users on the App and these should be identified by your User Account.

4.11 We do not endorse any User Submission or any opinion, recommendation or advice expressed therein, and we expressly disclaim any and all liability in connection with User Submissions.

4.12 We reserve the right to not publish or remove the User Submissions without notice for any reason in our absolute discretion, including, without limitation, breach of the User Submission Conditions and/or breach of any intellectual property rights.

4.13 You acknowledge that when using the App, you may be exposed to User Submissions from a variety of sources and that we are not responsible for the accuracy, usefulness, safety or intellectual property rights of or relating to such User Submissions. You further understand and acknowledge that you may be exposed to User Submissions that are inaccurate, offensive, indecent or objectionable and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against us with respect thereto.

4.14 You understand and agree that we may, but are not obligated to, monitor or review any content you post as part of an App. We may delete any content, in whole or in part, that in the sole judgment of us violates these Terms or may harm the reputation of the App or ours.

4.15 If you believe any of the User Submissions on the App are inaccurate, offensive, indecent, objectionable or infringe any intellectual property rights please contact us at …night@thenightlife.asia. On receipt of such notice we shall commence an investigation into the submission in question and/or temporarily or permanently remove the submission at our sole discretion.

5. Our Services Standards

5.1 The App is provided “as is” without warranties of any kind, and The Nightlife Asia liability to you is limited.

5.2 There is currently no charge for the use of the App, except the case in which the users buy tickets through the platform (Platform).

5.3 We will use our reasonable means to maintain the App. While we endeavor to ensure that the App is normally available 24 hours a day, we shall not be liable if for any reason the App is unavailable at any time or for any period. Access to the App may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond our control.

5.4 We cannot guarantee the continuous, uninterrupted or error-free operability of the App. There may be times when certain features, parts or content of the App, or the entire App, become unavailable (whether on a scheduled or unscheduled basis) or are modified, suspended or withdrawn by us, in our sole discretion, without notice to you. You agree that we will not be liable to you or to any third party for any unavailability, modification, suspension or withdrawal of the App, or any features, parts or content of the App.

5.5 We can at any time:

• modify or withdraw, temporarily or permanently, the App (or any part of it) for business and operational reasons in which event we shall try and give you reasonable notice of any suspension or withdrawal and we shall not be liable to you or any third party for any modification to or withdrawal of the App; and/or
• change these Terms. Your continued use of the App (or any part of it) following such change shall be deemed to be your acceptance of such change. It is your responsibility to check regularly to determine whether the Terms have been changed. If you do not agree to any change to the Terms then you must immediately stop using the App; and/or
• monitor any activity and content associated with the App. We may investigate any reported violation of these Terms or complaints relating to the App and take any action that we deem appropriate (which may include but is not limited to, issuing warnings, suspending, terminating or attaching conditions to your access to the App and/or removing any materials from the App).

6. External Links

6.1 The App may contain hyperlinks to websites and resources owned and operated by third parties. These third parties websites and resources have their own terms of use and privacy policies which you will need to comply with if you access such third party sites. You acknowledge and agree that we are not responsible for the availability of such external sites or resources and do not endorse and are not responsible or liable, directly or indirectly, for the privacy practices or the content (including misrepresentative or defamatory content) of such websites, including (without limitation) any advertising, products or other materials or services on or available from such websites or resources, nor for any damage, loss or offense caused or alleged to be caused by, or in connection with, the use of or reliance on any such content, goods or services available on such external sites or resources.

6.2 Third party links (including advertisements) do not imply that we endorse, are affiliated or associated with any linked website, or are legally authorized to use any intellectual property accessible through such links.

6.3 We may also use YouTube API Services/SDK or any third party API services/SDK in some of our products as permitted under the terms of YouTube policies, if you are using The Night life application service which makes use of YouTube APIs/SDK or any third party API/SDK services, then you are agreeing to the YouTube Terms of Service/Use or such or any third party Terms of Service/Use as well followed by this User Agreement.

7. Financial Transactions

7.1 You can buy certain tickets through the App. You accept to pay the relevant cost as indicated by the App with respect to the purchase of the relevant tickets.

7.2 The Nightlife Asia cannot be held responsible for any transaction that you enter into with a transactional partner on the App. Additionally, the Nightlife Asia is not responsible if the venue does not admit the ticket holder to the venue. It is under your responsibility to comply with the terms of entrance and rules of the relevant venues.

8. Intellectual Property Rights

8.1 All intellectual property rights (which includes rights such as copyright, and rights in trademarks) in any content of the App (including text, graphics, software, photographs and other images, videos, sound, trademarks and logos) are owned by us and/or our licensors. Except as expressly set out in these Terms, nothing in these Terms gives you any rights in respect of any intellectual property owned by us or our licensors and you acknowledge that you do not acquire any ownership rights by downloading content from the App. If you print off, copy or store pages from the App (only as permitted by these Terms and Conditions), you must ensure that any copyright, trademark or other intellectual property right notices contained in the original content are reproduced.

8.2 In terms of our ownership and proprietary rights, this App is owned and operated by The Nightlife Asia. The visual interfaces, graphics, design, compilation, information, data, computer code (including source code or object code), products, software, services, and all other elements of the App (“Materials”) provided by The Nightlife Asia are protected by intellectual property and other laws. All Materials contained in the App are the property of The Nightlife Asia or our third-party licensors. Except as expressly authorized by The Nightlife Asia, you may not make use of the Materials. The Nightlife Asia reserves all rights to the Materials not granted expressly in these Terms.

8.3 You may view the App on your computer screen and print its contents on your printer for your personal and non-commercial use only. For the avoidance of doubt, anything printed will form part of the Content.

8.4 Without our written consent, you may not use, transfer, copy or reproduce any part of the content, the App or its source HTML code in whole or in part, in any form or by any means, electronic, mechanical or otherwise, except for the sole purpose of viewing the content. This includes electronic reproduction by uploading or downloading.

8.5 You warrant that it is legal for you to view this App in the jurisdiction to which you are subject. You are responsible for compliance with all laws of that jurisdiction, in viewing or using the content.

9. Virus Protection and Compatibility

9.1 While certain precautions have been taken to detect computer viruses and ensure security, The Nightlife Asia cannot guarantee that the App is virus-free and secure.

9.2 The Nightlife Asia shall not be liable for any loss or damage which occurs as a result of any virus or breach of security. The Nightlife Asia does not give any warranties as to the compatibility of the App with your computer systems, software and/or hardware.

10. Liabilities

10.1 You agree and acknowledge that you use the App entirely at your own risk.

10.2 The App is provided on an “as is” and “as available” basis for your information and personal use only without any representation or endorsement. Unless specified in separate terms and conditions relating to a particular product or service, we make no warranties of any kind, whether express or implied, in relation to the App.

10.3 If you are dissatisfied with any portion of the App, or with any of the Terms, your sole remedy, except as specifically provided in these Terms, is to stop using the App.

10.4 The Nightlife Asia reserves the right to remove any information or material on the App without warning, and without prejudice to any other accrued rights, and/or make available such information or material when required to do so by law or when requested to do so by regulatory bodies or law enforcement organizations.

10.5 In no event shall The Nightlife Asia be liable for any business losses and any liability we do have for losses you suffer.

10.6 The Nightlife Asia will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations that are caused by events outside our reasonable control.

10.7 Where pictures, reviews, statistics, ratings and descriptions are displayed they are intended to be purely representative of the Venue. Your actual experience may vary.

10.8 The Nightlife Asia is not responsible for the conduct of any user. In no event shall the App, its affiliates or its partners be liable (directly or indirectly) for any losses or damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, arising out of or relating to the conduct of you or anyone else in connection with the use of the App, including, without limitation, death, bodily injury, emotional distress, and/or any other damages resulting from communications or meetings with other users or persons you meet through the App. You agree to take all necessary precautions in all interactions with other users, particularly if you decide to communicate off the App or meet in person, or if you decide to send money to another user. You understand that The Nightlife Asia makes no guarantees, either express or implied, regarding your ultimate compatibility with individuals you meet through the App. You should not provide your financial information (for example, your credit card or bank account information), or wire or otherwise send money, to other users.

10.9 You agree that The Nightlife Asia shall not be responsible or liable for any unauthorized access to, alteration or use of your account, transmissions or data, or any material or data sent or received or not sent or received through the App. You agree that The Nightlife Asia is not responsible or liable for any threatening, defamatory, obscene, offensive, illegal or other content or conduct of any third party or any infringement of another’s rights, including intellectual property rights.
10.10 You are solely responsible for your interaction with other users. You understand that The Nightlife Asia currently does not conduct criminal background checks or screenings on its users. The Nightlife Asia also does not inquire into the backgrounds of all of its users or attempt to verify the statement of its users. The Nightlife Asia makes no representations or warranties as to the conduct of users or their compatibility with any current or future users. The Nightlife Asia reserves the right to conduct any criminal background check or other screenings at any time and use available public records.

11. Warranties

No information, whether oral or written, obtained by you from the App or any materials or content available through the App will create any warranty regarding any of The Nightlife Asia entities or the App that is not expressly stated in these Terms. You assume all risk for any damage that may result from your use of or access to the App, and any materials or content available through the App. You understand and agree that you use the service, access, download, or otherwise obtain materials or content through the App and any associated sites or services, at your own discretion and risk, and that you are solely responsible for any damage to your property (including your computer system or mobile device used in connection with the App), or the loss of data that results from the use of the App or the download or use of that material or content.

12. Indemnity

You agree that you will be responsible for your use of the App, and you agree to defend and indemnify The Nightlife Asia and its officers, directors, employees, consultants, affiliates, subsidiaries and agents from and against every claim, liability, damage, loss, and expense, including reasonable attorneys’ fees and costs, arising out of or in any way connected with: (a) your access to, use of, or alleged use of, the App; (b) your violation of any portion of these Terms, any representation, warranty, or agreement referenced in these Terms, or any applicable law or regulation; (c) your violation of any third-party right, including any intellectual property
right or publicity, confidentiality, other property, or privacy right; or (d) any dispute or issue between you and any third party. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in that case, you agree to cooperate with our defense of that claim.

13. Termination

The Nightlife Asia may restrict/suspend and/or delete your access to the App, refuse to correspond with you, and/or remove your details from the relevant database without prejudice to any other accrued rights, without prior notice to you where:

• there is a regulatory or statutory change limiting the ability to provide access to the App;
• there is any event beyond the reasonable control of The Nightlife Asia preventing The Nightlife Asia from providing access to the App (for example, and without limitation, technical difficulties, capacity problems and communications failures); or
• The Nightlife Asia considers in its sole discretion that you are abusing the App or are otherwise acting in breach of these Terms.

14. Parties at Venues

14.1 Through the App we provide you with the ability to locate the party that is happening at different venues included in our app (either existing in our database or added manually by the users). Please acknowledge that we do not supervise these parties and are not involved in any way with the actions of any individuals at these parties. As a result, we have no control over the identity or actions of the individuals who are present at an event, and we request that our users exercise caution and good judgment when attending any event listed in the App.

14.2 Because we do not supervise or control the parties or interactions among or between members of The Nightlife Asia users and other persons or companies, and because we are not involved in any way with physical transportation to or from parties or with the actions of any individuals at parties, and because we do not control any third party providers such as credit card companies or other payment processing companies, and because we cannot guarantee the true identity, age, nationality of App users, and because we have very limited control, if any, over the quality, safety, morality, legality, truthfulness or accuracy of various aspects of the App you
agree that you bear all risk and you agree to release us (and our officers, directors, shareholders, agents, employees, affiliates, subsidiaries, and third party partners) from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, now and in the future, arising out of or in any way connected with your use of the App, your Third Party Transactions, our resolution of any disputes among users, and/or your transportation to or from, attendance at, or the actions of you or other persons at, a party.

15. General

15.1 These Terms are personal to you. You may not transfer or assign any or all of your rights or obligations under these Terms to any other person without our consent.

15.2 Any and all notices to be given by either one of us to the other pursuant to or in connection with these Terms shall be deemed sufficiently given when forwarded by e-mail in each case addressed to you at the e-mail address you have given us or to us at the e-mail address displayed on the App.

15.3 A failure or delay by The Nightlife Asia in enforcing compliance with these Terms shall not be a waiver of that or any other provision of these Terms.

15.4 We reserve the right, at our discretion, to change these Terms on a going-forward basis at any time. Please check these Terms periodically for changes. In the event that a change to these Terms materially modifies your rights or obligations, we will make reasonable efforts to notify you of such change. We may provide notice through a pop-up or banner within the Service, by sending an email to any address you may have used to register for an account, or through other similar mechanisms. Additionally, if the changed Terms materially modify your rights or obligations, we may require you to provide consent by accepting the changed Terms. If we require your acceptance of the changed Terms, changes are effective only after your acceptance. If you do not accept the changed Terms, we may terminate your access to and use of the App. All other changes are effective upon publication of the changed Terms. Disputes arising under these Terms will be resolved in accordance with the version of these Terms that was in effect at the time the dispute arose.

15.5 If any provisions of these Terms shall be unlawful, void or for any reason unenforceable then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

15.6 These Terms and Privacy Notice constitute the entire agreement between you and The Nightlife Asia as to your use of the App and shall supersede any prior agreement or representation in respect thereof.

15.7 You acknowledge that these Terms have been written in English. Where The Nightlife Asia has provided you with a translation of the English language version of these Terms, then you agree that the translation is provided for your convenience only and that the English language versions of the Terms will govern your relationship with The Nightlife Asia. In other words, if there is any contradiction between what the English language version of these Terms says and what a translation says, then the English language version shall take precedence.

15.8 These Terms shall be governed by and construed in accordance with the Laws of the Kingdom of Thailand. The Parties hereby agree to submit any dispute that occurred under this Agreement to the exclusive jurisdiction of the Court of Thailand.
